Wholesale Terms & Conditions of Sale

These Terms & Conditions apply to all sales made by Drawn By Darcy ("we", "us", "our") to trade customers ("the Customer").
1. Trade Customers
We supply goods exclusively to bona fide trade customers. By placing an order, you confirm that you are purchasing for business purposes and not as a consumer.
2. Orders
All orders are subject to acceptance by us.
We reserve the right to refuse or cancel any order at our discretion.
Orders cannot be amended or cancelled once production, packing or dispatch has commenced.
3. Prices
All prices are shown exclusive of VAT
Prices may change without prior notice, although confirmed orders will be charged at the agreed price.
4. Minimum Order
Our minimum order value is £20.
5. Payment
Unless otherwise agreed in writing:
- All orders are payable pro forma.
- Payment may be made by bank transfer, debit card or other approved methods.
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
We reserve the right to suspend further deliveries where invoices remain overdue.
6. Credit Accounts
Credit accounts are offered at our discretion and may be subject to credit checks.
We reserve the right to withdraw credit facilities at any time.
7. Delivery
Delivery dates are estimates only and are not guaranteed.
We are not liable for delays caused by couriers, suppliers, weather events or circumstances beyond our reasonable control.
Risk in the goods passes to the Customer upon delivery.
8. Carriage Charges
Delivery on all trade orders is £10
Customers must ensure they select the correct wholesale shipping option of £10 at checkout.
Free delivery may apply to orders exceeding our stated threshold.
Additional delivery charges may apply to remote or offshore locations.
9. Inspection of Goods
Customers must inspect goods immediately upon delivery.
Any shortages, damages or incorrect goods must be reported within 3 working days of receipt.
Claims made after this period may not be accepted.
Photographs will be requested to support any claim.
10. Returns
Goods may not be returned without our prior written agreement.
Approved returns must be:
- unused
- in original packaging
- suitable for resale
Special order items, personalised products, discontinued stock and sale stock are non-returnable unless faulty.
Unauthorised returns may be refused.
11. Faulty Goods
Where goods are confirmed to be faulty, we will, at our option:
- replace the goods
- repair the goods (where appropriate)
- issue a credit
- provide a refund
Our liability is limited to the purchase price of the affected goods.
12. Retention of Title
Ownership of all goods remains with Drawn By Darcy until full payment has been received for all outstanding invoices.
Until ownership passes, the Customer shall store the goods separately and clearly identify them as our property.
13. Stock Availability, Pre-Orders and Back Orders
All products are offered subject to availability.
We reserve the right to discontinue products or amend designs, packaging or specifications without prior notice.
Minor colour variations or foiling variations may occur due to the printing process.
Whilst we make every effort to keep our stock availability up to date, all products are offered subject to availability at the time your order is processed.
Pre-Orders
Where products are marked as available for pre-order, customers may place an order before stock is available. By placing a pre-order, you are reserving the quantity requested, which will be dispatched as soon as the product becomes available. Estimated availability dates are provided in good faith but are not guaranteed and may be subject to change.
Back Orders
If an item from your order is temporarily out of stock, it will normally be placed on back order unless you instruct us otherwise. Back-ordered items will be dispatched as soon as stock becomes available.
Where back-ordered items form part of an original order, they will be delivered separately at no additional carriage charge.
If a product is discontinued or we are unable to fulfil a pre-order or back order within a reasonable period, we will notify you and, where appropriate, offer a suitable alternative, issue a credit, or provide a refund for any amount paid.
Customers who do not wish to receive back-ordered items should notify us when placing their order.
14. Intellectual Property
All artwork, photography, product designs, branding and website content remain the property of Drawn By Darcy.
Retailers may use our approved product watermarked images solely for promoting our products. Images without our provided watermark may not be used on websites, or social media.
Images, artwork and designs may not be copied, altered or reproduced for any other purpose without written permission.
15. Limitation of Liability
We shall not be liable for:
- indirect or consequential losses
- loss of profits
- loss of business
- loss of goodwill
Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
16. Force Majeure
We shall not be liable for failure or delay in performing our obligations where caused by events beyond our reasonable control, including but not limited to:
- natural disasters
- strikes
- transport disruption
- supplier shortages
- pandemics
- government restrictions
17. Website Information
We make reasonable efforts to ensure product descriptions, images and prices are accurate.
Errors may occasionally occur and we reserve the right to correct them without liability.
18. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
